URGENT CORPORATE ANNOUNCEMENT

General Nutrition Group Inc. (“GNG”) is issuing this urgent corporate announcement to clarify its current corporate governance and the authority of individuals to represent the company.

Ms. Carrie Zhaohui Wei ceased to be a registered director of General Nutrition Group Inc. effective March 1, 2020. The founder and owner of the company, Mr. Thomas Lin, resumed his role as a registered director effective the same date.

Clarification Regarding Carrie Zhaohui Wei

Ms. Carrie Zhaohui Wei is not a director of General Nutrition Group Inc. and is not authorized to represent GNG in any current business, financial, contractual, investment or corporate matter.

Any activities undertaken by Ms. Wei in her personal capacity do not represent General Nutrition Group Inc. or its business.

GNG has not authorized Ms. Wei to make representations, enter into agreements, obtain financing, solicit investment, conduct banking activities, or otherwise act on behalf of the company.

Ongoing Corporate Review and Police Investigation

GNG is currently conducting a review and audit of historical corporate and financial matters associated with Ms. Wei’s prior involvement with the company.

The matters under review include disputed use of corporate signatures or authorization in connection with financing, financial transactions allegedly conducted using the company’s name or authority, and the alleged diversion of business revenue to accounts not authorized by the company.

Certain matters identified during the company’s review have been reported to police and are currently under police investigation. GNG is also using civil court procedures to obtain additional records and information relevant to these matters.

The company considers these matters sufficiently serious to require continued formal review and appropriate legal action.

Notice to the Public and Business Partners

For the avoidance of doubt:

Carrie Zhaohui Wei does not currently represent General Nutrition Group Inc.

Any current statement, transaction, agreement, financing arrangement, investment activity or other business activity undertaken by Ms. Wei should not be attributed to GNG unless independently confirmed in writing by an authorized director of General Nutrition Group Inc.

General Nutrition Group Inc. is not responsible for Ms. Wei’s independent or personal activities conducted without authorization from the company.

Any person or organization seeking to verify whether an individual is authorized to represent GNG should contact the company directly before entering into a transaction or relying upon such representation.
